End-User Licence Agreement (EULA)
This End-User Licence Agreement (“EULA”) is a legal agreement between you (“you”, the licensee) and [LEGAL COMPANY NAME] (“we”, “us”) for the TransCastAI software, including its updates and bundled components (the “Software”). It governs how you may install and use the Software. Your purchase, renewal and refunds are covered by our Terms & Conditions; how we handle data is covered by our Privacy Policy. Where this EULA and the Terms overlap, this EULA governs use of the Software.
By installing or using the Software you accept this EULA. If you do not agree, do not install or use it.
1. Free trial
- The Software runs as a free trial for [30] days from first launch, with full functionality and no payment.
- When the trial ends, the Software enters a read-only mode: you can still open and export work you have already created, but starting new transcription or translation requires a valid licence. The trial is per device and is not intended to be reset or extended by reinstalling.
2. Licence grant
- The Software is licensed, not sold. Subject to this EULA and payment of the applicable fee, we grant you a non-exclusive, non-transferable, revocable, 12-month (annual) licence to install and use the Software. Every edition includes the full Software (all features) — editions differ only by how many devices it may run on and your permitted use, below.
- Devices & use rights by edition: Lite — 1 device, personal use · Pro — up to 3 devices, commercial use · Pro-Plus — up to 10 devices, commercial & clinical use. The licence is enforced to its device count. The hosted Cloud offering (when available) is a separate subscription with its own terms.
- The licence is validated on your device (no constant connection required) and renews annually per the Terms. On expiry without renewal the Software returns to read-only mode (it never stops mid-session).
3. Permitted use
You may use the Software for your own purposes or, under Pro/Pro-Plus, your organisation’s purposes, within the device coverage above, in compliance with applicable law and the consent of any person whose speech or documents you process.
4. Restrictions
Except to the extent the law prohibits such a restriction, you must not:
- copy (other than for normal use/backup), redistribute, resell, rent, lease, lend, sublicense, host or make the Software available to third parties as a service;
- reverse-engineer, decompile, disassemble or attempt to derive source code, except as permitted by law for interoperability;
- circumvent, disable or tamper with the trial, licensing, activation or any security mechanism, or share/forge licence keys;
- remove or alter any proprietary notices; or use the Software unlawfully or to infringe others’ rights.
5. Ownership & intellectual property
We and our licensors own all rights, title and interest in the Software, including its models, glossaries, branding and all intellectual property. This EULA grants only the limited licence stated; no other rights are granted.
6. On-device corrections
The Software lets you suggest a better translation or proofread output. Any such corrections are saved privately on your device as your own data — they are not uploaded to us and remain yours. We do not collect, review or moderate them. You are responsible for not entering client, patient or confidential information you are not permitted to retain.
7. Third-party and open-source components
The Software includes third-party and open-source components provided under their own licences, including (without limitation) FFmpeg, faster-whisper / CTranslate2, pypdf, pdfminer.six, python-docx, sentencepiece, the Python runtime, and the BlackHole audio driver, together with Apple-provided frameworks. Those components remain under their respective licences; nothing in this EULA limits your rights under them. A full notices list is available on request at support@transcastai.com.
8. On-device processing & AI output
- Transcription, translation and read-aloud run on your device; see the Privacy Policy for what (if anything) leaves your device (e.g. optional online features you enable).
- The Software uses automated speech and machine-translation models. Output may contain errors and is provided for assistance only. It is not professional, medical, legal or other advice, and must be reviewed by a qualified human before being relied upon. You are responsible for verifying accuracy and for your use of the output.
9. Warranty disclaimer
To the maximum extent permitted by law, the Software is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. Nothing in this EULA excludes liability that cannot be excluded by law (including, for consumers, your statutory rights).
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of data, profit, revenue or goodwill. Our total aggregate liability arising out of or relating to the Software is limited to the amount you paid for the licence in the [12] months before the event giving rise to the claim. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
11. Termination
This EULA applies for the duration of your licence. We may terminate it if you materially breach it (including the restrictions in §4); on termination you must stop using and remove the Software. Sections that by their nature should survive (e.g. §§4–10, 12–13) survive termination. You can fully remove the Software and its components via the in-app Uninstall option.
12. Export & compliance
You must comply with applicable export-control and sanctions laws and must not use the Software where prohibited.
13. Governing law
This EULA is governed by the laws of [ENGLAND & WALES], and the courts of [ENGLAND & WALES] have exclusive jurisdiction, subject to any mandatory consumer-protection rights in your country of residence.
14. Changes
We may update this EULA; material changes will be notified and the version/date above updated. Continued use after changes constitutes acceptance.
